These Terms of Service ("Terms") govern your access to and use of the NXT Robotics website, the RobotogoAI Software-as-a-Service ("SaaS") platform, the Nexie AI Assistant, mobile messaging services, APIs, software, applications, documentation, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Services.

About NXT Robotics

NXT Robotics develops intelligent software solutions that combine cloud computing, artificial intelligence, infrastructure monitoring, cybersecurity, operational analytics, and collaborative communications into a unified platform. Our RobotogoAI platform enables organizations to monitor devices, infrastructure, operations, and business processes while using AI-assisted workflows to improve situational awareness, operational efficiency, and customer support.
The Services are intended for business, commercial, government, educational, and enterprise customers and are not designed for personal consumer use.

Eligibility

You must be at least eighteen (18) years of age and authorized by your employer or organization to use the Services.
Accounts may only be created by authorized customer administrators or authorized NXT Robotics personnel. Access credentials are personal to each user and may not be shared.
You are responsible for maintaining the confidentiality of your account credentials and for all activities performed under your account.

Customer Accounts

Customer organizations are responsible for identifying authorized users and ensuring that only properly authorized individuals access the Services.
You agree to provide accurate and current information when requested and to promptly notify your administrator or NXT Robotics if you believe your account has been compromised.
NXT Robotics reserves the right to suspend or terminate accounts that present a security risk, violate these Terms, or are used in an unauthorized manner.

Authorized Use

The Services are provided to support legitimate operational, administrative, monitoring, security, and customer support activities.
You agree to use the Services only for lawful purposes and in accordance with all applicable laws, regulations, contractual obligations, and your organization's internal policies.
You may not use the Services to interfere with the operation of any system, violate the rights of others, transmit malicious software, conduct unauthorized security testing, or engage in any activity intended to disrupt or damage the Services or another customer's environment.

Artificial Intelligence Services

The RobotogoAI platform includes AI-powered capabilities, including the Nexie AI Assistant and specialized AI agents that assist users in retrieving information, summarizing operational events, answering questions, facilitating workflows, and supporting infrastructure operations.
AI-generated responses are intended to assist authorized users and should not be interpreted as legal advice, engineering certification, emergency response instructions, or professional consulting services unless expressly identified as such.
Although NXT Robotics continually improves its AI systems, artificial intelligence may occasionally generate inaccurate, incomplete, or outdated responses. Users remain responsible for independently reviewing information and exercising appropriate professional judgment before acting upon AI-generated recommendations.
NXT Robotics may use AI technologies supplied by trusted third-party providers operating secure cloud environments. These providers process information solely for the purpose of delivering requested AI services on behalf of NXT Robotics.

Customer Data

You retain ownership of the data submitted by your organization to the Services.
By using the Services, you grant NXT Robotics a limited, non-exclusive right to process, store, transmit, analyze, and display Customer Data solely for the purpose of providing the Services, maintaining security, improving operational performance, complying with applicable laws, and fulfilling contractual obligations.
NXT Robotics does not sell Customer Data.

Security

NXT Robotics implements commercially reasonable administrative, technical, and organizational safeguards to protect customer information. These safeguards include authentication controls, encryption where appropriate, audit logging, role-based authorization, infrastructure monitoring, and continuous security improvements.
No system connected to the Internet can be guaranteed to be completely secure. You acknowledge that the transmission of information over the Internet carries inherent risks.
Customers are responsible for protecting their own credentials, endpoint devices, local networks, and internal security policies.

SMS Communications

NXT Robotics offers optional SMS communications for authorized users of the RobotogoAI platform.
Enrollment in SMS messaging is voluntary and is not automatically enabled when a user account is created.
Users may request enrollment only after authenticating to the RobotogoAI platform. During enrollment, the Nexie AI Assistant presents an SMS disclosure describing the types of messages that may be received, expected message frequency, message and data rate notices, opt-out instructions, and links to the Privacy Notice and SMS Terms & Conditions. SMS messaging is activated only after the user provides explicit consent.
SMS communications are limited to operational purposes, including customer support, AI-assisted ChatOps conversations, infrastructure alerts, service notifications, incident communications, support ticket updates, and other customer-authorized operational messages.
Users may opt out at any time by replying STOP to any SMS message. Users may obtain assistance by replying HELP.
Message frequency varies. Message and data rates may apply according to your wireless service plan.

Availability of Services

NXT Robotics strives to provide reliable and highly available Services; however, uninterrupted availability cannot be guaranteed.
The Services may occasionally be unavailable due to scheduled maintenance, software updates, cloud provider outages, telecommunications failures, security events, force majeure events, or circumstances beyond our reasonable control.
NXT Robotics reserves the right to modify, suspend, or discontinue portions of the Services when necessary to maintain security, improve functionality, or comply with legal obligations.

Intellectual Property

The Services, including software, source code, object code, user interfaces, documentation, graphics, trademarks, logos, AI models developed by NXT Robotics, workflows, and related materials, are the property of NXT Robotics or its licensors and are protected by applicable intellectual property laws.
These Terms do not transfer ownership of any intellectual property rights.
Except as expressly authorized in writing, you may not copy, modify, distribute, reverse engineer, decompile, sublicense, or create derivative works based upon the Services.

Third-Party Services

The Services may integrate with third-party products and services, including cloud providers, communications providers, identity providers, ticketing systems, mapping services, AI providers, and customer-authorized software platforms.
NXT Robotics is not responsible for the availability, security, privacy practices, or functionality of third-party services that are outside our control.
Use of third-party services may also be subject to the applicable terms and policies of those providers.

Confidentiality

Each party agrees to protect confidential information received from the other party using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care.
Confidential information may be used solely for purposes of providing, administering, or using the Services and may not be disclosed except as required by law or with the disclosing party's consent.

Suspension and Termination

NXT Robotics may suspend or terminate access to the Services if we reasonably believe that continued access could compromise security, violate applicable law, infringe upon the rights of others, or breach these Terms.
Customer organizations may terminate user access at any time through their authorized administrators.
Termination of access does not relieve either party of obligations that, by their nature, survive termination, including confidentiality, intellectual property protections, payment obligations, and limitations of liability.

Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis to the maximum extent permitted by law.
NXT Robotics disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation.
While NXT Robotics endeavors to provide accurate information and reliable AI-assisted services, we do not guarantee the completeness, accuracy, or suitability of any output generated by the Services.

Limitation of Liability

To the fullest extent permitted by applicable law, NXT Robotics shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, business interruption, or loss of data arising from or relating to the use of the Services.
The aggregate liability of NXT Robotics arising from these Terms shall not exceed the fees paid by the applicable customer for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.
Certain jurisdictions do not permit the exclusion or limitation of certain damages, and those limitations shall apply only to the extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless NXT Robotics, its officers, employees, contractors, affiliates, and licensors from any claims, liabilities, damages, losses, costs, or expenses arising from your misuse of the Services, your violation of these Terms, or your violation of applicable laws or the rights of any third party.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles, unless otherwise required by a written agreement between NXT Robotics and the customer.
Any disputes arising under these Terms shall be resolved in the appropriate state or federal courts located within California, and each party consents to the jurisdiction of those courts.

Changes to Terms

NXT Robotics may update these Terms from time to time to reflect changes in our Services, applicable laws, security practices, or business operations.
Material changes will become effective upon publication of the revised Terms on our website unless otherwise required by law.
Your continued use of the Services following publication of revised Terms constitutes acceptance of the updated Terms.
